An Act Respecting the Convention of Atlantic Baptist Churches

 

WHEREAS the United Baptist Convention of the Maritime Provinces, which was created in 1905-1906, became the United Baptist Convention of the Atlantic Provinces in 1963, and the Convention of Atlantic Baptist Churches in 2001; and

 

WHEREAS the Convention of Atlantic Baptist Churches was an unincorporated body (the “unincorporated Convention”); and

 

WHEREAS the unincorporated Convention was incorporated, by Letters Patent dated December 1, 2010, pursuant to Part II of the Canada Corporations Act, R.S.C. 1970, c.C-32 (the “incorporated Convention”); and

 

WHEREAS by resolution dated August 18, 2011, the members of the Convention of Atlantic Baptist Churches transferred all of the unincorporated Convention’s real and personal property, including its business and operations, together with all its rights and obligations, to the incorporated Convention; and

 

WHEREAS by resolution dated August 18, 2011, the members of the Convention of Atlantic Baptist Churches authorized the incorporated Convention on its own behalf and on behalf of the unincorporated Convention to seek any necessary statutory amendments in either New Brunswick or Nova Scotia to confirm that any reference in any statute in either province to the “Convention of Atlantic Baptist Churches” should be interpreted as a reference to the incorporated Convention and further that any reference, in any document, to the “Convention of Atlantic Baptist Churches” should be deemed to be and construed as a reference to the incorporated Convention; and

 

WHEREAS by resolution dated August 18, 2011, the incorporated Convention accepted all of the assets and liabilities of the unincorporated Convention; and

 

WHEREAS the Convention of Atlantic Baptist Churches prays that it be enacted as hereinafter set forth;

 

THEREFORE, Her Majesty, by and with the advice and consent of the Legislative Assembly of New Brunswick, enacts as follows:

 

1              A reference in any Act, other than this Act, or in any regulation, rule, order or by-law, or in any public or private document, of any type whatsoever, to the “Convention of Atlantic Baptist Churches”, under that name or any other name that was previously used, authorized or referenced in any Act, regulation, rule, order or by-law, or in any public or private document, of any type whatsoever, shall, as regards any subsequent transaction, matter or thing, be held and construed to be a reference to the incorporated Convention.

 

2              All rights, duties, obligations or liabilities of the unincorporated Convention are vested in and binding upon the incorporated Convention.
